Welcome to SOFTPIQ Limited (βSOFTPIQβ, βweβ, βusβ, or βourβ). These Terms and Conditions (βTermsβ) govern your access to and use of our websites, accounts, digital products, software licenses, and services (collectively, the βServicesβ). By creating an account, accessing, or purchasing any item from SOFTPIQ, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who We Are & Scope of Products & Services
1.1 Direct Provider (not a marketplace). You contract directly with SOFTPIQ. We do not operate as a marketplace for third-party sellers. All products and services are provided by SOFTPIQ, including (a) Digital Goods (e.g., software, applications, templates, license keys, downloadable assets) created by us; and (b) Authorized Resale of software licenses or digital goods only where we hold valid authorization/partner or reseller rights from the rights holder; and (c) Professional Services (e.g., development, design, consulting) delivered by SOFTPIQ on a contract basis.
1.2 Global availability. We sell worldwide subject to applicable laws, sanctions, export controls, payment-processor and card-network rules, and these Terms.
1.3 High-value transactions. For certain high-value orders (typically β₯ USD 500 or equivalent) we require third-party escrow (e.g., escrow.com or another reputable escrow provider) and/or bank transfer. We will notify you of any escrow requirement before payment.
2. Account Registration & Eligibility
2.1 Account required. A SOFTPIQ account is required to purchase, access downloads/keys, manage subscriptions, and receive support. You must provide accurate, current information and keep it updated.
2.2 Age & authority. You affirm you are 18+ (or legal majority in your jurisdiction) and have authority to bind any organization on whose behalf you use the Services.
2.3 Security. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
2.4 Our rights. We may refuse registration, suspend, or terminate accounts for suspected fraud, policy violations, or legal/compliance risks.
2.5 Pre-Contract Information (UK/EU consumers): We provide, in a clear and prominent way before you place an order: our trader identity and contact details; the main characteristics of the product or service; the total price including taxes and any charges; payment, delivery and performance arrangements; the existence and conditions of the right of withdrawal (including the digital content cooling-off waiver where applicable); the complaint handling process; and the duration of any subscription or minimum term. By placing an order you acknowledge receipt of this information.
3. Products, Partner Authorizations & Due Diligence
3.1 Original & authorized content. SOFTPIQ sells (a) products we create and own; and (b) products we are expressly authorized to resell or distribute. We may request or maintain documentary evidence of authorization from partners. We do not knowingly sell unlicensed, pirated, or unauthorized goods.
3.2 Your review. You are responsible for reviewing product descriptions, system requirements, license scope, and compatibility before purchase. If unsure, contact us prior to checkout.
3.3 No third-party contracting with freelancers. All services are delivered by SOFTPIQ; users do not contract with independent freelancers through our site.
4. Orders, Pricing, Taxes & Corrections
4.1 Offer & acceptance. By submitting an order, you offer to purchase the items under these Terms. The contract is formed upon our payment confirmation.
4.2 Pricing & taxes. Prices are shown in the currency indicated at checkout. Applicable taxes (e.g., UK/EU VAT) are calculated based on your billing location and displayed before payment. You are responsible for any taxes not collected by us.
4.3 Currency conversion & bank fees. If your payment method currency differs, your bank or provider may charge conversion or foreign transaction fees.
4.4 Errors. We may correct obvious pricing or content errors. If a correction affects your order, we will notify you to choose between a refund or proceeding at the corrected price.
5. Payments, Verification & Escrow
5.1 Methods. We accept major cards and approved digital wallets/payment services, and may allow bank transfer by arrangement for high-value transactions. We do not accept cash, cheques, or money orders.
5.2 Security & PCI. Card payments are processed by PCI-DSS compliant gateways. SOFTPIQ does not store your full card number or CVV. All data in transit uses TLS/HTTPS.
5.3 Authorization. You represent that you are authorized to use the chosen payment method and authorize charges for the total amount shown at checkout (including taxes and, where applicable, escrow fees disclosed in advance).
5.4 Anti-fraud & KYC. We may use automated screening and request identity/address verification or additional documentation. We may hold, refuse, or cancel any order suspected of fraud, unauthorized use, or policy violations and will refund any captured funds if the order is cancelled.
5.5 Chargebacks. If you dispute a charge without first contacting us to resolve a genuine issue, we may submit evidence of delivery/activation to contest the chargeback and may suspend the related account.
5.6 Escrow (mandatory for big budgets). For designated transactions, payment must be deposited with an independent escrow provider; funds are released to SOFTPIQ upon your confirmation of receipt per escrow terms. Escrow fees and responsibilities will be disclosed prior to engagement.
5.7 SCA & Authentication: Your bank or provider may require Strong Customer Authentication (e.g., 3-D Secure). We do not apply card surcharges unless legally permitted and clearly disclosed in advance; any fees from your bank (e.g., FX fees) are your responsibility.
6. Digital Delivery & Access
6.1 Delivery methods. Delivery is digital only (no physical shipment) and may occur via (a) email; (b) your account dashboard; and/or (c) direct download post-checkout. For escrow transactions, delivery is coordinated in accordance with the escrow workflow.
6.2 Timing. Most items are delivered instantly or within minutes of payment confirmation. Manual verification, fraud screening, stock reconciliation, or partner validations can cause delays.
6.3 Availability of downloads. Your account will typically retain download access or license views for a reasonable period. We recommend you promptly download and securely back up your purchases.
6.4 Non-delivery & support. If you do not receive an expected email or access link within a reasonable time, check spam/junk and your dashboard, then contact support.
7. Subscriptions & Renewals
7.1 Terms. Subscription terms (monthly/annual/other) are shown at purchase.
7.2 Auto-renew. If designated as auto-renewing, you authorize us to automatically charge the payment method on file at each renewal unless you cancel in advance.
7.3 Manual renewal. If non-auto, you must pay each renewal to maintain access.
7.4 Cancellation. You can cancel any time; cancellation applies from the next billing cycle. Amounts already paid for the current term are not refundable, except as required by law or where SOFTPIQ terminates the service (see Refunds). We provide an easy, self-service, one-click cancellation path from the account dashboard; cancellation is effective at the end of the current billing period.
7.5 Price changes. We may change subscription pricing with prior notice. New pricing applies from the next renewal after notice.
7.6 Renewal Reminders (annual terms). For auto-renewing annual subscriptions, we will send a renewal reminder a reasonable time before renewal with instructions to cancel easily if you do not wish to continue.
8. Refunds, Returns & Cancellations (Summary)
Full policy details appear in our Refund & Returns Policy (incorporated by reference). This section is a binding summary.
8.1 Pre-delivery cancellation (14 days). If you purchased but delivery has not occurred / service has not begun, you may cancel within 14 days of purchase for a full refund.
8.2 Digital contentβcooling-off waiver. For digital goods, once download/access/issuance of a license key begins at your request, you waive the statutory cooling-off right to cancel. After delivery/activation, no refund is due except as in 8.3. At checkout we present a mandatory checkbox stating: βI request immediate digital delivery and acknowledge that once delivery or license key issuance begins, I lose my 14-day right to cancel for digital content.β You must tick this box to complete a digital purchase.
8.3 Non-delivery or defective/not-as-described. If (a) you did not receive access/delivery; or (b) a key/file is defective or materially not as described, we will troubleshoot and provide a replacement or refund if the issue cannot be resolved within a reasonable time. We may require reasonable evidence (e.g., error screenshots).
8.4 Services. If work has not started, you may cancel within 14 days for a full refund. Once work begins, refunds are partial or none depending on work performed. After full delivery/acceptance, no refund. If you cancel within 14 days after asking us to start work during the cooling-off period, you will pay (or we may retain) a pro-rata amount for work performed up to cancellation; any excess you paid will be refunded.
8.5 Subscriptions. Cancelling stops future billing. The current paid term is non-refundable. If SOFTPIQ discontinues a subscription mid-term without cause, you receive a pro-rata refund of the unused portion.
8.6 No-refund scenarios. No refund for change of mind; successful key activation; delivered/working downloads; late requests well beyond reasonable time; or misuse/abuse/fraud.
9. Buyer Protection (Summary)
Detailed commitments appear in our Buyer Protection Policy (incorporated by reference).
9.1 Authenticity. We guarantee genuine/authorized licenses or your money back.
9.2 Delivery guarantee. You receive the product or a refund.
9.3 Functionality. Non-working keys/files are replaced or refunded after verification.
9.4 Security. Payments through secure gateways; personal data handled per our Privacy Policy.
9.5 Dispute assistance. We work with you to resolve issues quickly; escalation available.
9.6 High-value safety. Escrow may be required for large transactions.
9.7 Publisher Warranties: For third-party software, SOFTPIQ guarantees the legitimacy and activation of the license we supply. Performance, features, and updates of the software are governed by the publisherβs own warranties/support. Where a key or file we provided is non-working, we will replace or refund per 8.3.
10. Acceptable Use & Prohibited Activities
10.1 Lawful use only. You must comply with all applicable laws and these Terms.
10.2 No harm or interference. Do not disrupt, attack, scrape, reverse-engineer, or attempt unauthorized access to our systems or other usersβ accounts.
10.3 No resale or redistribution. Unless expressly permitted by license, do not share, resell, sublicense, or redistribute our products, keys, or downloads.
10.4 Content standards. Do not upload or transmit unlawful, infringing, defamatory, deceptive, malicious, or privacy-violating content.
10.5 Strictly prohibited categories. We do not permit our Services to be used for, by, or in connection with:

Adult sexual content/services or pornography

Alcohol sales/distribution

Betting, gambling, lotteries, or games of chance

Weapons/firearms/ammunition or regulated weapons

Illegal drugs, recreational drugs, nicotine/vapes or related paraphernalia

Counterfeit or infringing goods, hacking/spyware or surveillance wares

Illicit/illegal activities or other high-risk merchant categories banned by card networks or payment processors We may reject, suspend, or terminate any account or order implicated in the above or otherwise posing unacceptable legal or compliance risk, and we may report suspected illegal activity to payment processors and competent authorities.
11. Intellectual Property & Licenses
11.1 Ownership. All content, code, designs, trademarks, and materials are owned by SOFTPIQ or used under license. Purchase grants a limited, non-exclusive, non-transferable, non-sublicensable license for personal or internal business use, subject to the specific product license.
11.2 Restrictions. Except as expressly allowed, you may not reproduce, modify, translate, distribute, publicly display, reverse-engineer, or create derivative works from our products. Do not remove proprietary notices.
11.3 Custom work. Ownership and license terms for bespoke services will be set out in the applicable statement of work. Unless agreed otherwise, SOFTPIQ retains background know-how and generic components.
11.4 Third-party components. Products may include third-party/open-source elements under their respective licenses, which you agree to follow.
11.5 Feedback. You grant SOFTPIQ a perpetual, worldwide, royalty-free license to use suggestions or feedback to improve our Services.
11.6 IP complaints. If you believe content infringes your rights, contact legal@softpiq.com with details (including proof of rights and the specific location/asset). We will promptly review and act where appropriate.
12. Professional Services: Milestones, Acceptance & Cancellation
12.1 Milestones. For project work, fees may be divided into milestones with defined deliverables. We may require advance payment or escrow funding for each milestone.
12.2 Acceptance. Upon delivery of a milestone, you must review promptly and either accept or provide specific written feedback within the period stated (e.g., 5 business days). Reasonable revisions will be addressed per the statement of work. Absence of timely feedback may be deemed acceptance.
12.3 Cancellation. If a project is cancelled, completed and delivered milestones are non-refundable; unstarted milestones already paid may be refunded. Any exception will be stated in the project contract.
13. Privacy, Cookies & Data Protection
13.1 Privacy Policy. Our Privacy Policy explains how we collect, use, and share personal data and your rights under GDPR/UK GDPR/CCPA and other applicable laws. It is incorporated into these Terms.
13.2 Cookies. Our Cookie Policy describes how we use cookies and your controls, including consent management for non-essential cookies.
13.3 Data security. We implement appropriate technical and organizational measures, but no system is 100% secure. You are responsible for safeguarding your credentials and local environments.
14. Compliance: Sanctions, Export, AML & Anti-Bribery
14.1 Sanctions & export. You warrant you are not located in, or a resident of, a sanctioned territory and are not a sanctioned person or entity. You agree not to use or export our products in violation of UK, EU, US or other applicable export/sanctions laws.
14.2 AML/KYC. We may conduct screening and request KYC information (particularly for high-value orders) and may decline or cancel where risk or legal constraints exist.
14.3 Anti-bribery. You will comply with all applicable anti-bribery and anti-corruption laws (including the UK Bribery Act and US FCPA).
15. Disclaimers
15.1 As-is. Except where expressly stated or required by law, the Services are provided βas isβ and βas availableβ. We do not warrant uninterrupted, error-free operation, universal compatibility, or particular outcomes.
15.2 No implied warranties. To the maximum extent permitted by law, all implied warranties (merchantability, fitness, non-infringement) are disclaimed.
15.3 Information accuracy. We take care with product descriptions and documentation but do not guarantee they are free from minor errors or omissions.
15.4 Consumer rights preserved. Nothing in these Terms limits your non-waivable statutory rights (e.g., remedies for faulty digital content under applicable law).
16. Limitation of Liability
16.1 No indirect damages. To the fullest extent permitted by law, SOFTPIQ is not liable for indirect, incidental, special, punitive, or consequential losses (e.g., lost profits, lost data, business interruption).
16.2 Cap. Our total aggregate liability for claims relating to a product or service is limited to the amount you paid to SOFTPIQ for that product or service in the 12 months preceding the claim.
16.3 Exceptions. We do not exclude liability where unlawful to do so, including for death/personal injury caused by negligence, fraud/fraudulent misrepresentation, or other non-excludable liabilities under applicable law.
16.4 Device damage. If our digital content damages your device or digital content due to lack of reasonable care and skill, we will repair the damage or compensate you as required by law.
17. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless SOFTPIQ and its officers, employees, and affiliates from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, or violation of law or third-party rights.
18. Changes to Services or Terms
18.1 Service changes. We may modify or discontinue features. For subscriptions, we will not materially reduce core benefits in an active paid term without appropriate remedy (e.g., pro-rata refund or right to cancel).
18.2 Terms updates. We may update these Terms from time to time. We will post the updated version with the βLast Updatedβ date and, for material changes, provide additional notice. Continued use after changes means you accept the updated Terms.
19. Governing Law, Jurisdiction & Dispute Resolution
19.1 Governing law. These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules.
19.2 Jurisdiction. The courts of England and Wales have exclusive jurisdiction over disputes arising out of or in connection with these Terms or the Services, subject to any mandatory consumer forum rights in your country of residence.
19.3 ADR. We encourage resolving disputes amicably. We may agree to reasonable mediation/arbitration requests in appropriate cases.
19.4 EU ODR. If you are an EU consumer, you may use the EU Online Dispute Resolution platform for complaints: https://ec.europa.eu/consumers/odr We are not obliged to participate, but we will consider reasonable requests for ADR in good faith.
20. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control (including acts of God, labor disputes, internet failures, outages by hosting providers, cyberattacks, epidemics, war, or governmental actions).
21. Miscellaneous
21.1 No assignment without consent. You may not assign your rights or obligations without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset transfer.
21.2 Severability. If any provision is found unenforceable, the remainder remains in effect.
21.3 No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
21.4 Entire agreement. These Terms (plus the policies incorporated by reference) constitute the entire agreement between you and SOFTPIQ regarding the Services and supersede prior communications.
21.5 Language. The controlling language of these Terms is English.

The following policies form part of these Terms and apply to your use of the Services:
In the event of any conflict, the specific policy governing the relevant subject area shall prevail for that subject, while these Terms continue to govern generally.
